NON - EXCLUSIVE LICENCE

IMAGE USAGE

AGREEMENT

The two parties to this agreement are:

1. COPYRIGHT OWNER: stickels images

2. THE CLIENT / LICENCEE.

Now it is agreed:

The image/s purchased will be hereafter called 'the Work'.

The licence shall last for the period of 10 years.

The rights are International.

The usage fee for the Work (ex GST) is: the purchase price.

The words www.stickelsimages.com shall be printed alongside and in reasonable proximity to each reproduced Work. Failure to do so may incur penalty fees. The copyright of the Work purchased under the licence is owned and retained by

stickels images.

IT IS ALSO AGREED THAT THE CLIENT/LICENCEE:

1. Accepts that the Work is deemed received in excellent condition unless returned within seven days of receipt.

2. Has no authority to, and shall not assign or sub-licence their rights under the agreement to a third party without prior permission.

3. Will not copy or store the work by any means, except for the purpose for which the Work was originally supplied.

4. Shall provide stickels images with one example of the reproduction made under the licence.

5. Shall indemnify and defend stickels images against all claims, liability and costs arising out of the use of the Work, or any inaccuracies in supplied captioning; indemnify and defend stickels images against all claims, liability and costs arising out of the use of the Work for which no model or property release was furnished. Unless furnished no property or model release exists.

IT IS ALSO AGREED THAT:

In the event of breach of any terms herein by the Client/Licencee, stickels images may terminate this agreement unless same is not rectified within thirty days after the giving of written notice to the Client/Licencee.
